Terms of Service

These Terms of Service (“Terms”) govern your use of BidWrite, a multi-agent AI platform for drafting RFP responses operated by dalysystems.ai (“we,” “us,” or “BidWrite”). By creating an account or using the product, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and able to form a binding contract. If you use BidWrite on behalf of a company, you represent that you have the authority to bind that company to these Terms.
2. Your account
You’re responsible for the security of your account credentials and for anything that happens under your account. Tell us immediately at support@dalysystems.ai if you suspect unauthorised access. We can suspend or terminate accounts that violate these Terms or that present a security risk.
3. The service
BidWrite generates draft RFP responses using third-party AI models. The output is a starting point, not a finished bid. You are responsible for reviewing every word before submission — AI models can produce text that is inaccurate, incomplete, or inappropriate for your specific opportunity. Treat agent output the same way you would treat a junior associate’s first draft.
We may add, change, or remove features at any time. If we materially reduce a feature you paid for during a paid period, you can request a pro-rata refund.
4. Plans, billing, and refunds
- Pricing is shown on the pricing page. We may change prices with at least 30 days’ notice; price changes apply to your next renewal, not the current period.
- Subscriptions auto-renew until cancelled. You can cancel anytime in Settings → Billing; cancellation takes effect at the end of your current paid period.
- We offer a 14-day refund window on first-time paid subscriptions if you contact us before significant usage. After that, paid periods are non-refundable except where required by law.
- You authorise us, via Stripe, to charge your payment method for the plan you select including any applicable taxes.
- Quota and rate limits apply. Hitting them does not entitle you to a refund; upgrade your plan or wait for the next billing cycle.
5. Acceptable use
You agree not to:
- Use BidWrite to draft responses for fraudulent or illegal procurements.
- Upload content that infringes someone else’s intellectual property, violates export control laws, or contains malware.
- Reverse-engineer the product, scrape it, or use it to train a competing AI system.
- Attempt to bypass rate limits, plan limits, or security controls; share credentials; or use multiple guest sessions to evade quota.
- Use BidWrite to process content that is regulated in ways we don’t support (e.g. classified government information, PHI in regulated workflows without a separate BAA).
6. Your content
You own everything you upload or create in BidWrite (RFP source documents, knowledge-base snippets, drafted responses). You grant us a limited licence to host, process, and display that content for the sole purpose of operating the service for you. We do not use your content to train AI models.
You’re responsible for having the right to upload what you upload — if a procurement document is marked confidential, make sure you’re allowed to put it in our system before you do.
7. AI output
To the extent permitted by law, we assign to you whatever rights we have in the AI-generated text we produce on your behalf. You are responsible for verifying it before submission. Output may not be unique to you — AI models can produce similar text for similar prompts.
8. Confidentiality + security
We maintain administrative, technical, and physical safeguards designed to protect your data; details are in our Privacy Policy. No system is perfectly secure — if we discover a breach affecting your data we’ll notify you without undue delay.
9. Suspension and termination
We can suspend or terminate your access if you violate these Terms, if your payment fails, or if your usage threatens the service’s integrity or other customers. You can terminate anytime by deleting your account. On termination we delete your content per the schedule in our Privacy Policy.
10. Disclaimer
BIDWRITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY UNDER THESE TERMS IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) US$100.
12. Indemnification
You will defend and indemnify us against third-party claims arising from your content, your violation of these Terms, or your violation of another’s rights. We will defend and indemnify you against third-party claims that the BidWrite platform itself (excluding AI-generated output and your content) infringes their intellectual property, subject to standard carve-outs.
13. Governing law and disputes
These Terms are governed by the laws of to be confirmed by counsel, without regard to its conflict-of-law principles. Any dispute will be resolved by binding arbitration in to be confirmed by counsel under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court. Class actions and class arbitration are waived to the extent permitted by law.
If you’re an EU consumer, mandatory consumer-protection laws of your country of residence apply notwithstanding the above.
14. Changes
We may update these Terms. We’ll post the new version with an updated date and, for material changes, email registered users at least 14 days before the change takes effect. Continued use after that constitutes acceptance.
15. Miscellaneous
These Terms (plus our Privacy Policy and any order form you sign) are the entire agreement between us regarding BidWrite. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign to an affiliate or in connection with a merger or sale.
